Welcome to ReactivatePatients.com (the “Website”). The Website is owned and operated by Point Blank Strategic Marketing, doing business as Reactivate Patients (“Reactivate Patients,” “we,” “us,” or “our”).

These Terms of Use (“Terms”) govern your access to and use of the Website, including any content, tools, forms, communications, resources, consultations, or other services made available through the Website (collectively, the “Services”).

By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Website or Services.

1. Business and educational purpose

Reactivate Patients provides business, marketing, patient-reactivation, operational, scheduling, training, communication, and practice-development support for medical practices and healthcare-related organizations.

The Website and Services are provided for general informational, educational, and business-development purposes only. Nothing on the Website or in the Services is intended to be, or should be interpreted as:

  • Medical, clinical, legal, tax, accounting, regulatory, or compliance advice
  • A diagnosis, treatment recommendation, referral, medical opinion, or substitute for professional medical care
  • A guarantee of patient response, appointments, revenue, collections, practice growth, or any particular business result

2. No medical care or patient relationship

Reactivate Patients is not a medical practice, physician group, hospital, health plan, or provider of medical care. We do not diagnose, treat, prescribe, provide medical advice, or make clinical decisions.

Nothing on this Website creates a physician-patient, provider-patient, fiduciary, agency, employment, partnership, or joint-venture relationship between Reactivate Patients and any Website visitor, patient, medical practice, clinician, or other party.

Patients seeking medical care should contact their own physician, qualified healthcare professional, or emergency services when appropriate. Do not submit urgent medical information, symptoms, treatment requests, or emergency communications through this Website.

3. Client responsibility and compliance

If you use Reactivate Patients’ services on behalf of a medical practice, healthcare provider, or healthcare organization (“Client”), you represent and warrant that you have authority to bind that Client to these Terms and any applicable agreement with us.

Each Client is solely responsible for:

  • Its clinical judgment, medical decision-making, patient care, triage, treatment, referrals, and follow-up
  • The accuracy, completeness, legality, and appropriateness of all patient lists, contact data, health information, outreach instructions, recall criteria, and campaign materials it provides or approves
  • Determining which patients are appropriate to contact and whether any outreach is medically, ethically, legally, or operationally appropriate
  • Obtaining all required patient consents, authorizations, permissions, and opt-in documentation
  • Maintaining all required opt-out, do-not-contact, consent-revocation, and communication-preference records
  • Compliance with all laws, regulations, standards, payer requirements, professional obligations, and platform rules applicable to its activities
  • Compliance with laws governing privacy, security, patient communications, marketing, telemarketing, text messaging, email, calls, record retention, and healthcare operations, including HIPAA where applicable
  • Ensuring that all patient communications are accurate, approved, non-misleading, clinically appropriate, and sent only through lawful channels
  • Reviewing, approving, and implementing all campaign content, scripts, workflows, and recommendations before use, unless a written agreement expressly states otherwise

Reactivate Patients may provide operational guidance, suggested workflows, general communications support, and non-clinical recommendations. The Client retains sole responsibility for final review, approval, implementation, and legal/compliance determination.

4. No guarantee of results

Testimonials, examples, estimates, case studies, projections, revenue calculations, scheduling results, reactivation rates, return-on-investment figures, or other performance information presented on the Website are illustrative only. They are not promises, warranties, or guarantees of current or future performance.

Actual results vary based on many factors, including patient population, data quality, inactive-patient criteria, provider capacity, scheduling access, staff performance, local market conditions, pricing, patient preferences, clinical appropriateness, timing, legal requirements, and the Client’s implementation of recommendations.

To the fullest extent permitted by law, Reactivate Patients disclaims any guarantee that use of the Website or Services will generate appointments, revenue, patient reactivation, referrals, leads, profitability, or other particular outcomes.

5. Privacy and protected health information

Please review our Privacy Policy, which is incorporated into these Terms by reference.

Do not submit protected health information (“PHI”), personally identifiable health information, patient records, medical histories, insurance information, Social Security numbers, or other sensitive information through a general Website contact form, chat tool, email address, or other non-secure channel unless Reactivate Patients has expressly instructed you to use an approved secure method.

Where Reactivate Patients performs services that involve access to PHI on behalf of a covered entity or business associate, the parties must enter into an appropriate written Business Associate Agreement or other legally required agreement before PHI is disclosed or made available, unless an exception under applicable law applies.

Nothing in these Terms modifies, replaces, or supersedes a signed BAA, service agreement, statement of work, data-processing agreement, or other written agreement between Reactivate Patients and a Client. In the event of a conflict, the signed written agreement controls.

6. Website submissions

If you submit information through the Website, including through a contact form, assessment request, consultation request, scheduling form, email subscription form, or other inquiry, you represent that:

  • The information is accurate and not misleading
  • You have the right to provide the information
  • You will not submit PHI or other sensitive personal information through an unapproved or non-secure channel
  • Your submission does not violate any law, contractual obligation, privacy right, intellectual-property right, or other third-party right
  • You consent to Reactivate Patients contacting you about your inquiry, subject to applicable law and the choices available to you

We may use information submitted through the Website to respond to requests, evaluate prospective engagements, schedule consultations, provide requested information, improve our services, and communicate about services that may be relevant to your organization, as described in our Privacy Policy.

7. Intellectual property

The Website may include links to third-party websites, social-media platforms, scheduling tools, analytics providers, communication platforms, or other external services. We do not own or control those third parties and are not responsible for their content, availability, privacy practices, security, products, services, or terms.

Your use of third-party websites or services is at your own risk and governed by their applicable terms and privacy policies. A link does not imply our endorsement, sponsorship, recommendation, or affiliation.

10. Disclaimer of warranties

THE WEBSITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REACTIVATE PATIENTS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, OR RESULTS.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, AVAILABLE AT ANY PARTICULAR TIME, FREE OF VIRUSES OR HARMFUL COMPONENTS, OR SUITABLE FOR YOUR NEEDS.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, REACTIVATE PATIENTS, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR MULTIPLE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, PATIENT RELATIONSHIP, REPUTATION, OR ANTICIPATED SAVINGS, ARISING FROM OR RELATED TO THE WEBSITE, SERVICES, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, REACTIVATE PATIENTS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE, SERVICES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • The AMOUNT YOU PAID DIRECTLY TO REACTIVATE PATIENTS FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
  • ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain warranty disclaimers or limitations of liability. In those jurisdictions, the foregoing provisions apply only to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Reactivate Patients and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, actions, proceedings, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

  • Your use or misuse of the Website or Services
  • Your violation of these Terms
  • Information, data, instructions, patient lists, campaign content, communications, or materials you provide, approve, upload, or direct us to use
  • Your failure to obtain required consents, authorizations, permissions, or approvals
  • Your failure to comply with healthcare, privacy, marketing, telemarketing, text-message, email, consumer-protection, or other applicable laws
  • Your medical, clinical, scheduling, billing, administrative, or business decisions
  • Any allegation that your content, instructions, or use of the Services violates a third party’s rights or applicable law

13. Confidentiality

If Reactivate Patients and a Client enter into a separate written agreement containing confidentiality obligations, that agreement governs. Otherwise, each party agrees to use reasonable care to protect the other party’s non-public confidential information and to use such information only as needed to evaluate, receive, or provide services.

Confidential information does not include information that is publicly available through no fault of the receiving party, independently developed without use of confidential information, rightfully received from a third party without a duty of confidentiality, or required to be disclosed by law, subpoena, court order, or government request.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

To the extent permitted by law, any dispute arising from or relating to these Terms, the Website, or the Services must be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction and venue of those courts.

15. Changes to these Terms

We may update these Terms from time to time. The “Last Updated” date above indicates when the Terms were most recently revised. Your continued use of the Website after updated Terms are posted constitutes your acceptance of the revised Terms.
